Jaykaycem Ltd (wholly owned subsidiary of the Company) stands dissolved without being wound up and amalgamated with the Company with effect from the appointed date i.e. April 01, 2008 as per the Scheme of Amalgamation. The Company has now informed the Exchange that the certified true copy of the said Order dated August 04, 2009 has been filed with Registrar of Companies, U.P. and Uttarakhand today i.e. August 24, 2009 hence became effective with immediate effect. Further the company has informed the Exchange that a Meeting of the Board of Directors of the Company is scheduled on August 31, 2009 interalia to adopt consolidated Annual Accounts of the Company for the year 2008-09 pursuant to the said Order dated August 04, 2009. | - |
