| INGERRAND | Ingersoll Rand (India) Limited | 10 Aug 2005 | Delisting Proposal | Ingersoll Rand (India) Ltd. has informed the Exchange that a meeting of the BOD's of the Company is proposed to be held on August 10, 2005, to consider the request as per the letter received from the Company's promoter Ingersoll-Rand Company Limited, the contents of which include the following: Ingersoll-Rand Company Limited, a company organized under the laws of Bermuda (collectively with its subsidiaries, the 'IR Group'), is the largest shareholder in Ingersoll-Rand (India) Limited (the 'Company'), holding approximately 74% of the equity shares of the Company through Ingersoll-Rand Company, a New Jersey corporation. Ingersoll-Rand Company is a wholly-owned, indirect subsidiary of Ingersoll-Rand Company Limited. IR Group wishes to purchase the outstanding publicly held shares of the Company (the 'Delisting Proposal') and delist the Company under the Securities and Exchange Board of India (Delisting of Securities) Guidelines, 2003 (the 'Guidelines'). The Guidelines require that the shareholders of the Company approve the Delisting Proposal by way of special resolution passed at its general meeting. The letter issued by Ingersoll-Rand Company Limited should be treated as a notification to the Company to convene the required general meeting of the shareholders to consider the Delisting Proposal.
