(VCIL), and were approached by a Review Committee appointed by the Board of Directors of VCIL for support in the task of restructuring their operations which have resulted in losses for 5 consecutive quarters, till December 31, 2006. The Board of Directors of this company had appointed a Special Committee to examine all relevant aspects as also possible remedial measures. At the meeting held today, (i.e. March 19, 2007) the Committee took a view that VAM manufacturing plant of VCIL is of strategic importance to Pidilite Industries Ltd. and that there is good probability of VAM manufacturing unit becoming profitable sometime during the year 2008. As VCIL does not have the financial capacity to sustain the VAM manufacturing unit in view of the losses for the past 5 Consecutive quarters, the committee has recommended to the Board of Directors that VCIL's manufacturing division at Mahad be demerged into this Company, effective from April 01, 2007. A meeting of the Board of Directors of this company is being convened on March 21, 2007 and if the Board of Directors of this company accepts the foregoing recommendations such demerger would be processed under section 391 and 394 of the Companies Act, 1956 which inter alia require the approval of the Shareholders as also the High Court at Mumbai in compliance with the provisions of the foregoing sections of the Companies Act, 1956". | - |
