The Company has further informed the Exchange that the Board has proposed, interalia, at the same meeting to consider the following: 1) The funding proposal including that of the issue of securities on preferential basis under SEBI (DIP) Guidelines. 2) To approve the Scheme of Merger, De-merger and Capital Reduction for: i) Merger of MatrixOne India Limited with Cambridge Solutions Limited, ii) De-merger of the ITES Undertaking of Cambridge Integrated Services India Private Limited to Cambridge Solutions Limited, iii) Reduction of the Securities Premium Account in the books of Cambridge Solutions Limited. Cambridge Integrated Services India Private Limited, presently engaged in the business of providing IT-Enabled Services as well as start-up assistance, business and administrative support services, etc, is part of the Cambridge Group and is indirectly held by Cambridge Solutions Limited. Similarly, MatrixOne India Limited, presently engaged in computer software development and related services, is part of the Cambridge Group and is a wholly owned subsidiary of Cambridge Solutions Limited. 3) To authorize company personnel to take all necessary steps in connection with the above amalgamation.
